Our client has experienced good growth over the last few years and is now looking to bring on their first Company Secretary to get everything in order and help the company continue its growth and progress forward. This role will be working closely with the CEO and has a relatively open scope of responsibilities. The CEO is looking for someone to come in and get the day-to-day in order as well as helping to drive and improve the governance of the company forward. There is an Assistant in the team who is currently working through their CGI qualification and who will play a supporting role to this.
This role is part-time, 3 days a week, with a hybrid structure of 2 days in the London office, with Wednesday being an anchor day when everyone is in. A competitive salary is on offer.
Experience, Skills and Competencies:- Will have been a company secretary in a past role within a financial services organisation.
- Strong knowledge and awareness of the Corporate Governance code and its requirements.
- Will have managed Board Governance and understand the FCA and PRA regulatory requirements on Board Governance and the duties and regulated responsibilities of the Board of Directors.
- Must be able to consult and advise the Board on relevant laws and regulations and possess the ability to analyse and interpret their impact on the Group.
- Preferably has a recognised Board governance qualification from the Corporate Governance Institute.
- Previous experience of managing/supervising an Assistant Company Secretary.
- Strong organisational skills and ability to coordinate multiple tasks and meet multiple deadlines.
- Excellent communication skills.
- Acts as the conduit between the Board and various stakeholders, requiring clarity, precision, tact, diplomacy and professionalism at all times.
- Able to write minutes and prepare Board reports to the highest standards.
- Precision and a meticulous attention to detail.
- Critical thinking: must be able to analyse situations, evaluate options, and make informed decisions.
- Be able to navigate complex and ambiguous scenarios and assess risks, weigh the pros and cons of different courses of action, and provide reasoned advice to the board.
