Our client seeks a motivated Company Secretarial Assistant to join their Group Secretariat. In this dynamic role, you will report to the Deputy Company Secretary as well as supporting the Head of Compliance, Regulation & Commercial Contracts and the Chief Legal Officer to ensure the efficient operation of the department. This position offers a fantastic opportunity for professional growth in governance.
Responsibilities include:
- Governance Support
- Assist Directors and senior management with corporate governance matters.
- Ensure compliance with the UK Companies Act, UK Corporate Governance Code.
- Meeting Administration
- Prepare and circulate Board and Committee papers.
- Attend meetings and drafting minutes regularly.
- Manage the administrative tasks related to Board and Committees.
- Company Administration
- Support statutory compliance for companies by updating records in Diligent Entities and preparing statutory filings with the Registrar of Companies.
- Maintain a timeline for key filings to ensure compliance.
- Assist with executing company resolutions and maintaining the group structure chart.
- Additional Responsibilities
- Administer the Diligent Boards and Diligent Entities systems.
- Support the Deputy Company Secretary and Chief Legal Officer on various projects, including annual reports.
The successful candidate is likely to have the following skills and experience:
- Experience supporting Company Secretarial functions within a business with a desire to build a governance career.
- Highly proficient in drafting minutes and knowledge of UK corporate governance and company law.
- Familiarity with Diligent Boards and Diligent Entities (or similar systems) is highly desirable.
- Experience drafting company documentation, such as confirmation statements.
- Strong relationship management skills and confidence when interacting with senior colleagues.
- Ability to work independently, manage pressure, and meet tight deadlines.
- Exceptional attention to detail and strong organisational skills.
- A collaborative team player with excellent written communication skills.
Qualifications
- Degree educated or equivalent is essential; a law degree is a plus, and study support is available if you are aiming to qualify as a company secretary.
