Our client seeks a motivated Company Secretarial Assistant to join their Group Secretariat. In this dynamic role, you will report to the Deputy Company Secretary as well as supporting the Head of Compliance, Regulation & Commercial Contracts and the Chief Legal Officer to ensure the efficient operation of the department. This position offers a fantastic opportunity for professional growth in governance.
Responsibilities include:
- Governance Support: Assist Directors and senior management with corporate governance matters. Ensure compliance with the UK Companies Act, UK Corporate Governance Code.
- Meeting Administration: Prepare and circulate Board and Committee papers. Attend meetings and draft minutes regularly. Manage the administrative tasks related to Board and Committees.
- Company Administration: Support statutory compliance for companies by updating records in Diligent Entities and preparing statutory filings with the Registrar of Companies. Maintain a timeline for key filings to ensure compliance. Assist with executing company resolutions and maintaining the group structure chart.
- Additional Responsibilities: Administer the Diligent Boards and Diligent Entities systems. Support the Deputy Company Secretary and Chief Legal Officer on various projects, including annual reports.
The successful candidate is likely to have the following skills and experience:
- Experience supporting Company Secretarial functions within a business with a desire to build a governance career.
- Highly proficient in drafting minutes and knowledge of UK corporate governance and company law.
- Familiarity with Diligent Boards and Diligent Entities (or similar systems) is highly desirable.
- Experience drafting company documentation, such as confirmation statements.
- Strong relationship management skills and confidence when interacting with senior colleagues.
- Ability to work independently, manage pressure, and meet tight deadlines.
- Exceptional attention to detail and strong organisational skills.
- A collaborative team player with excellent written communication skills.
Qualifications: Degree educated or equivalent is essential; a law degree is a plus, and study support is available if you are aiming to qualify as a company secretary.
