Provide comprehensive legal advice and counsel on a wide range of corporate and governance matters, including corporate restructurings, subsidiary management and supporting board and committee meetings. Collaborate closely with the board of directors and senior leadership team to ensure effective corporate governance practices, including compliance with applicable laws, regulations, and best practices.
Providing legal advice on proposed finance transactions; reviewing, drafting and negotiating a wide range of finance related documentation for parental guarantees, loans and bank facility agreements. Also requires negotiating standard banking terms and other day to day banking agreements and NDAs.
Developing close working relationships with the Treasury and Governance functions of the business in identifying and managing legal risks with internal and external counterparts, and developing strategies to support the achievement of commercial objectives while managing and minimising legal risks. Provide timely legal advice and solutions. Engaging and managing external counsel where appropriate, and all related expenses.
Maintain and develop standard contractual templates, and work to create and improve standardised legal processes to achieve best in class filing, tracing and productivity standards. Assisting the global Corporate Secretary in the administration of Bunge Global SA, including interfacing with external and internal counsel on a variety of legal and regulatory filings.
Knowledge & Skills
- Experience in structuring, drafting and negotiating legal documentation for finance transactions including secured transactions, bank guarantees, loans and credit facility agreements.
- Experience in drafting and negotiating ISDA and other derivative documentation (desired).
- Cross border finance transaction experience.
- Strong verbal and written communications skills with ability to work under a diverse and multicultural environment.
- Calm and confident demeanor with the ability to interact with all levels of senior management.
- Resilient, and with the ability to navigate effectively and productively legal processes.
- Excellent organisation skills, with ability to adapt to changing priorities and deadlines.
- Insatiable appetite for continuous learning and development.
- A team player with high professional integrity.
- English language written and spoken fluency.
Education & Experience
- Law qualification under any of English / Continental Europe / New York law.
- At least 3-4 years' experience in corporate finance transactions and corporate governance gained from a major law firm, financial institution or corporate setting.
