Day Rate: £600–£900 per day
We’re supporting a client delivering one of the UK’s most significant and complex infrastructure programmes in the search for an experienced Senior Governance Manager to join their Company Secretariat function on a 12-month contract. This is a high-profile role providing governance leadership, Board and Executive Committee support, and company secretarial oversight within a complex, fast-paced and highly regulated environment. You will play a pivotal role in strengthening governance frameworks, ensuring high-quality decision-making, and supporting senior leaders across the organisation.
Key Responsibilities- Deliver a full suite of company secretarial and governance services across Board, Board sub-committees, Executive Committee and governance panels.
- Lead the annual governance planning cycle, overseeing a schedule of 200+ meetings.
- Supervise and support governance colleagues, ensuring strong performance and quality outputs.
- Provide expert governance advice to senior stakeholders, ensuring decisions are made through the correct channels.
- Oversee effectiveness reviews and support continuous improvements across governance forums.
- Manage contributions to the Annual Report & Accounts and maintain statutory and regulatory records.
- Lead the review of governance documentation, policies and Board portal usage.
- Support onboarding of new Executive and Non-Executive Directors.
- Ensure compliance with governance frameworks, delegations and internal control structures.
- Experience as a Governance Manager, Deputy Company Secretary or Chartered Company Secretary within a large, complex or public sector organisation.
- Strong understanding of corporate governance best practice, processes and oversight frameworks.
- Proven ability to draft high-quality Board papers, minutes and reports on complex matters.
- Strong stakeholder management skills with confidence operating at senior Executive and Board level.
- Experience improving governance processes and implementing structural changes.
- Highly organised with capability to manage heavy workloads and tight deadlines.
- Experience with Board Portal systems (e.g., Diligent, AdminControl).
- High levels of discretion, confidentiality and professional judgement.
