Role overview: Fantastic newly created opportunity for a Company Secretary to lead a dedicated team responsible for the effective operation of the Board cycle and Executive Risk Committee framework. The role reports to the Group Company Secretary of a leading banking group. In this position, you will play a key role in ensuring compliance with PRA and FCA regulatory requirements while promoting the highest standards of corporate governance across the organisation. The ideal candidate will have a strong passion for corporate governance, a proactive approach to continuous improvement, and the ability to thrive in a dynamic, fast-paced environment.
Key Responsibilities:
- Leading and developing a high-performing corporate governance team.
- Working closely with the Company Secretary and Governance function to provide high-quality company secretariat support to the Board.
- Direct lead for the Bank’s Board Risk Committee, including agenda planning, coordinating and reviewing board papers, preparing high-quality minutes, and maintaining effective information flows with senior management.
- Supporting annual effectiveness reviews of the Board and executive-level risk committees, helping drive continuous improvement in governance practices.
- Monitoring and advising on corporate governance developments, regulatory changes, and emerging industry best practices.
- Contributing to the preparation of the Group Annual Report and Accounts from a banking entity perspective.
