An excellent opportunity has arisen for a VP-level Transaction Legal Manager to join the Securities Legal Team of a global banking group. The team supports securities transactions across the Capital Markets Division, advising on legal risk, transaction documentation, and execution. The role will suit a lawyer (qualified or unqualified) with a strong Debt Capital Markets (DCM) background and experience across structured notes, repackaging, hybrid instruments, and securitisation. The position also offers exposure to a broad range of cross‑functional and cross‑border work, partnering with Legal, Compliance, Risk, Operations, and other stakeholders across the EMEA region, including involvement in firm‑wide and regional legal initiatives.

Key Responsibilities:

  • Provide legal support on securities and capital markets transactions
  • Draft, review, and negotiate transaction documentation
  • Identify, assess, and manage legal and regulatory risks
  • Provide legal support on DCM transactions, including syndicated and non‑syndicated bond and note issuances
  • Provide advice on vanilla, structured (including repacks), hybrid, high‑yield and securitisation products
  • Support EMTN programmes, including establishment, updates and drawdowns
  • Provide advice on liability management transactions
  • Provide legal support on ECM transactions, including share issuances, rights issues, convertible and exchangeable bonds, and REITs
  • Advise the business on English securities law and regulatory requirements
  • Collaborate with EMEA legal colleagues on cross‑border transactions and strategic projects
  • Build and maintain strong relationships with senior business stakeholders

Skills & Experience:

  • Qualified Solicitor or similar equivalent
  • Demonstrable experience advising on DCM products, including exposure to structured notes, repackaging, hybrids, and securitisation
  • Strong knowledge of English securities law and regulation
  • Excellent communication and stakeholder‑management skills
  • Commercially minded with a solid understanding of capital markets businesses
  • Proven ability to operate effectively in a global, matrixed environment
  • Additional languages, particularly French, would be advantageous
