ROLE OVERVIEW
BPG is seeking a corporate lawyer to provide legal and governance support across Brookfield's European portfolio, working closely with senior lawyers and other internal stakeholders. This role will suit an early-career lawyer with a strong foundation in corporate law and governance, and an interest in corporate structuring, including fund structures, regulatory issues, as well as cross-border legal operations.
KEY RESPONSIBILITIES
- Corporate and Governance
- Manage and support the coordination of entity incorporations, dissolutions, and other corporate housekeeping matters as part of broader structuring and restructuring initiatives, including post-acquisition integration, corporate simplifications and pre-transaction planning.
- Support the corporate governance framework for Brookfield's European entities, including providing guidance and oversight to its network of corporate administrators and external service providers to ensure high-quality governance support in accordance with the terms of their engagements.
- Ensure compliance with applicable company law requirements and Brookfield's global legal entity protocols and governance standards.
- Review and negotiate a range of corporate and commercial contracts, including NDAs, engagement letters, intra-group agreements, and third-party service contracts.
- Regulatory
- Research and monitor changes in applicable corporate laws, regulations and guidance, primarily in the UK and EU, as well as industry developments, best practices, and trends.
- Regulatory perimeter analysis on Brookfield's investment structures, including regulated activities, CIS and AIF analysis.
- Antitrust oversight, including managing initial antitrust/FDI/FSR analysis, managing any required filings.
- Support Brookfield's compliance function on the implementation of corporate regulatory initiatives at portfolio company level.
- Inbound and outbound KYC / AML process management and oversight.
- Funds and Investment Support
- Assist in the management of the Brookfield's Investment Committee ("IC") process, ensuring IC memos are prepared, reviewed, and submitted in line with Brookfield's authority policy, approval requirements and established timelines.
- Assess potential conflicts of interest in relation to real estate investment activities, coordinating documentation and approval processes with Brookfield's internal Conflicts Committee and real estate fund Limited Partner Advisory Committees (LPACs).
- Support real estate fund legal operations throughout the investment lifecycle — from inception to disposition — including investment structuring, assessing fund legal and regulatory requirements, and managing any required regulatory filings and approvals.
- Company Secretarial Oversight
- Assist in the management of the company secretarial function for Brookfield's European entities.
- Ensure accurate maintenance of corporate records, registers, and databases.
- Implement and enhance governance processes and reporting frameworks, promoting best practices across jurisdictions.
QUALIFICATIONS AND EXPERIENCE
- 3-4 years' post qualification experience at a major law firm or in-house.
- Experience in real estate and/or private equity preferred.
- Familiarity with fund structures and related regulatory frameworks preferred.
- Excellent interpersonal and communication skills, both written and verbal, including being able to flex communication style to diverse geographies and team members.
- Ability to multi-task and work in a very fast paced and team-oriented environment.
- Strong time and task management skills and an ability to work in a transactional setting.
- Proficiency in full suite of Microsoft Office products (Excel, PowerPoint, and Word).
- Experience in managing paralegals / trainees.
