Winchester-based with hybrid flexibility

The Brendoncare Foundation is seeking an experienced and values-driven Governance & Executive Support Lead to play a pivotal role at the heart of our organisation. This is a senior and influential position, providing governance and executive support to the Chief Executive, Board, and Senior Leadership Team to ensure robust governance, legal compliance, and ethical decision-making across the charity.

You will play a key role in fostering a culture of accountability, transparency, and continuous improvement, constructively guiding and challenging the Board and Senior Leadership Team to ensure Brendoncare’s mission and values underpin all decisions. This role requires an individual who leads with kindness and integrity, adopts an empowering and collaborative approach, and is forward-thinking in anticipating governance needs, while remaining committed to the highest standards of care and support for the people we serve.

What will I be doing:

  • Provide high-quality governance and executive support to the Chief Executive and Senior Leadership Team.
  • Support the Company Secretary to ensure compliance with the Charities Act, Companies Act, and governing documents.
  • Advise the Chair, Board, and Committees on governance, constitutional, legal, and regulatory matters.
  • Organise, coordinate, and minute Board and Committee meetings, ensuring accurate records and timely follow-up of actions.
  • Oversee statutory filings, annual returns, and the maintenance of registers and governance records.
  • Lead on non-financial governance and compliance, including the preparation of Board papers, policies, and reports.
  • Monitor developments in charity, company, and regulatory law, advising on implications and supporting implementation.
  • Support the Chief Executive with organisational risk management, including maintaining the risk register.
  • Coordinate the annual Board and governance calendar, including trustee recruitment, induction, and development.
  • Build effective working relationships with trustees, senior leaders, and external stakeholders to support informed decision-making.
  • Provide guidance on trustee appointments, resignations, and declarations of interest, ensuring transparent and compliant records.
  • Provide executive assistance to the Senior Leadership Team on governance matters, including the preparation of strategic and Board papers, action plans, policy reviews, and compliance documentation.

What do I need to have to apply:

Essential:

  • Proven experience in governance and formal committee systems, ideally within a charity or regulated environment.
  • Strong understanding of charity governance and trustee responsibilities.
  • Experience supporting Boards, trustees, and senior leaders on governance and compliance matters.
  • Excellent written skills, with experience producing high-quality reports, policies, and Board papers.
  • Strong IT skills, including Microsoft Office and digital collaboration tools.
  • Highly organised, confident, and able to manage competing priorities with discretion and integrity.
  • Willingness to travel to meetings and events as required.

Desirable:

  • Working knowledge of company law within a charitable context.
  • Experience as a charity volunteer or wider community engagement.
