We are recognized as a top innovator and an inclusive workplace, helping make money work for the world. We’re seeking a Counsel – Complex Transactions to join our Legal team in Manchester, UK. Key Responsibilities Structure, draft, and negotiate complex transaction documents, including technology procurement agreements (e.g., SaaS, cloud), outsourced (ITO and BPO), and managed service agreements, as well as technology-related partnership and collaboration agreements. Provide practical, business-focused legal counsel by understanding business strategies and goals, and communicate legal issues and solutions effectively. Support the development of commercial contracts such as service descriptions, SLAs, and fee schedules. Collaborate with senior stakeholders across BNY Mellon, including ECRSO, lines of business, and other partners, ensuring proper awareness and escalation of issues. Assist in maintaining and improving contract templates and review checklists to ensure compliance with BNY Mellon standards amidst evolving regulatory requirements. Qualifications Legal Degree with experience as a practicing attorney, specifically in structuring, drafting, and negotiating complex technology agreements at a law firm or in-house legal department. Experience in financial services preferred. Basic knowledge of cybersecurity, technology controls, information security, data privacy, and data management. Familiarity with financial regulations and guidance on outsourcing and third-party relationships (e.g., EBA, ESMA, FCA/PRA, DORA, MAS, HKMA) is preferred. Understanding of global privacy laws (e.g., GDPR, GLBA, CCPA) is advantageous. Self-motivated with the ability to work independently and as part of a global team. Strong analytical, problem-solving, and drafting skills, with proven project management capabilities. Ability to handle multiple priorities and deliver high-quality work under pressure. Excellent communication, negotiation, and interpersonal skills. Experience with legal technology tools such as contract lifecycle management systems (e.g., SirionLabs, iManage) is a plus.
