- Acting as Secretary to board and committee meetings – including minuting, preparing board packs and papers
- Undertaking dedicated board and committee minuting assignments, including short-term and rolling minuting contracts
- Managing insider lists, share dealing policies and MAR compliance
- Completing regulatory filings with Companies House, the FCA and other bodies
- Leading governance and company secretarial projects (including M&A, share capital projects, governance framework implementation, compliance health checks, and governance code gap analyses)
- Managing cash and DRIP dividends
- Overseeing subsidiary governance, statutory compliance and entity management
- Supporting clients through interim assignments, including the possibility of full-time interim placements with a single client for periods of up to six months, where business needs require
Beyond delivery, you’ll bring ideas that drive efficiency, effectiveness, and growth, while safeguarding your clients’ reputations.
How you’ll work
- Work will depend on the needs of clients at the time but may include a mix of ongoing CoSec-on-Demand assignments and project-based engagements.
- While we operate a remote-first model, this role does require regular flexibility to attend client offices, primarily in London.
- Travel to client sites is part of the role and all reasonable travel expenses are covered.
- This role suits someone who enjoys autonomy, but also values being present with clients and part of a close, expert team.
What we’re looking for

- In-house governance/company secretarial experience
- Based in the UK within commutable distance from London
- Happy to work hybrid i.e. able to work in client offices (in London) 3 days a week
- A confident self-starter with strong technical skills and sound judgement
- Someone comfortable working independently while collaborating closely with senior colleagues
- A professional who enjoys client interaction and is happy commuting into London when required
A highly sought-after governance consultancy, trusted by boards and senior leaders across listed and regulated environments. A no-politics, low-ego culture where professionalism, judgement and quality of thinking come first. A strong sense of team spirit, collaboration and mutual support. Good work/life balance with fixed hours and overtime paid for overtime. The opportunity to work alongside experienced, ex–in-house governance professionals who are leaders in their field. Exposure to high-quality, varied client work that genuinely develops your judgement and profile. Autonomy and trust in how you work, without being left on your own. A clear pathway to a permanent, full-time role for those who perform well and want to build a long-term career with us. Flexibility without compromising on standards, purpose or impact.
