IOSH is the voice of the occupational health and safety profession, supporting more than 50,000 members globally to make the world of work safer and healthier.
We are seeking a Head of Governance, the most senior governance professional in the organisation. The role provides strategic leadership, constitutional expertise and operational oversight across the full governance lifecycle, including Board and Council effectiveness, regulatory compliance, policy frameworks, elections, member discipline and constitutional development.
Reporting to the Director of Finance and Governance, you will act as the primary adviser to the Chair of Trustees, the Board and the Chief Executive on all charity and governance matters and be the custodian of the organisation’s governing instruments.
Key responsibilities
- Provide expert leadership on governance, constitutional compliance and Board effectiveness.
- Lead governance support for the Board of Trustees, Council and Standing Committees.
- Manage IOSH’s obligations as a registered charity, including Charity Commission returns and regulatory engagement.
- Lead Trustee appointment, governance review and constitutional amendment processes.
- Oversee professional conduct, disciplinary and member governance processes.
- Lead and develop the Governance Team (3–4 FTE).
About you
You will bring:
- Substantial governance experience within a charity, membership body or similarly regulated organisation.
- Demonstrable knowledge of charity law and Charity Commission guidance.
- Experience supporting Boards and senior committees and producing high-quality, decision-focused minutes.
- Experience of appointments, elections, conflicts of interest and constitutional procedures.
- Excellent written and oral communication skills, including the ability to advise confidently at the most senior level.
- A professional qualification in governance (or working towards qualification) or strong company secretarial experience.
