Full-time, Brinkworth, Legal & Compliance
Your Tasks
- Drafting, reviewing, negotiating and finalising a wide range of commercial contracts including, but not limited to: EPC and O&M contracts, option and lease agreements, supply agreements, sub-contractor agreements, purchase agreements and confidentiality agreements.
- Advising (and co-ordinating external legal counsel) on the development and realisation of solar and energy projects, including major equipment purchase contracts, construction contracts, operation and maintenance agreements, real estate matters, interconnection arrangements, power purchase and energy hedging arrangements.
- Assisting on project acquisition and divestiture.
- Ensuring that ownership and deal structures and contractual provisions are maximised, coordinated and financeable.
- Supporting the Directors and other team members during the contract stage and taking leadership during negotiations with customers’ representatives/lawyers to reach mutually acceptable terms.
- Highlighting risk to the business and leading initiatives to minimise such risk.
- Ability to work with borrowers, lenders and tax equity investors in structuring and negotiating non-recourse development, construction and long-term debt and other financing arrangements for solar projects.
- Assisting in navigating the numerous issues that arise in connection with acquisition and divestiture of solar projects.
- Working with existing management and internal and external legal counsel as required.
- Working with internal teams and taking a pro-active role in updating standard terms and conditions and company policy.
- Controlling, documenting and monitoring all contract changes.
- Addressing potentially contentious situations and managing internal teams to resolve issues.
- Adhering to all company policies, procedures and business ethics codes including anti-bribery policy.
Your profile
- Solicitor qualified in England and Wales.
- Track record of academic excellence and at least five years’ PQE gained in the commercial or energy sector.
- Excellent knowledge of construction contract forms including FIDIC, NEC, JCT and bespoke forms of contract.
- Excellent communication skills and attention to detail.
- Commercially minded and solutions focused approach.
- Willingness to develop a career in-house.
- Familiar with all aspects of project development and financing, preferably gained in the field of alternative energy and distributed power sources, such as solar, energy storage, wind, geothermal, biofuels and hydroelectricity.
- Good working knowledge of property law, planning law and litigation procedures in the UK.
- Ability to work in an international environment.
