We are supporting a large financial services organisation in Glasgow seeking an experienced Company Secretarial professional to join their governance team on a 12 month contract. This role sits within a high performing company secretarial function supporting a broad portfolio of regulated and unregulated entities. It offers exposure to senior stakeholders, including board members and executive committees, alongside involvement in both BAU governance and strategic initiatives.
The Role
- Take ownership of a portfolio of entities, providing full company secretarial support to boards and committees, including those operating within regulated environments.
- Act as Company Secretary to a range of boards and committees, including regulated entities.
- Support senior governance forums, including executive committees.
- Prepare annual governance calendars, board agendas, and high quality board packs.
- Advise directors on corporate governance best practice, duties, and conflicts.
- Produce minutes to a high standard aligned with listed company expectations.
- Support board effectiveness reviews and governance reporting.
- Manage statutory and regulatory filings.
- Contribute to entity restructures, refinancings, and governance projects.
- Engage with offshore support teams to ensure effective delivery of core activities.
- Support wider governance initiatives such as MI improvement and board succession planning.
About You
This role will suit an experienced Company Secretary or corporate governance lawyer who is comfortable operating in a fast paced, highly regulated environment. You will bring:
- Significant experience within company secretarial or corporate governance roles.
- Strong exposure to financial services, ideally within regulated environments.
- Experience supporting boards, non-executive directors, and senior stakeholders.
- Excellent written skills, particularly around board minutes and governance papers.
- Confidence working independently while contributing to a wider team.
- A proactive, solutions focused approach.
This is a high visibility role within a well established governance function, suited to someone who can add value quickly and operate with confidence at senior level.
