The Firm A top 15 AmLaw elite international firm are looking to appoint an attorney to join their M&A team based in their New York office. This is an off-market opportunity and offers you the chance to work for one of the most premier transactional practices in the market. In this role you will take a significant role in advising leading private equity sponsors, public companies, boards of directors and financial institutions on complex domestic and cross-border transactions. The team are renowned for their expertise across various areas including strategic M&A, private equity acquisitions, and corporate governance matters. The practice consistently advises on complex, cross-border matters involving major multinational corporations and leading private equity firms, making it an ideal environment for lawyers seeking exposure to sophisticated deal work at the highest level of the global M&A market.
What your day-to-day will look like
- Managing private equity and corporate M&A transactions from start to finish, including due diligence, drafting and negotiating purchase agreements, disclosure schedules, and other key transaction documents.
- Working closely with private equity sponsors, corporate buyers, and in-house legal teams on complex domestic and international deals.
- Advising on sophisticated deal structures and private equity transactions, gaining exposure to a variety of unique and high value matters rather than routine M&A work.
- Taking ownership of your own deals, acting as a key contact for clients and partners throughout the transaction lifecycle.
- Working within a collaborative team environment where you have meaningful responsibility and visibility on transactions, rather than being one of many lawyers on a large deal team.
- Supporting negotiations, problem-solving transaction issues, and helping clients navigate complex legal and commercial challenges throughout the deal process.
About you
- Be Called to the New York Bar.
- Experience advising on M&A transactions, with private equity deal experience considered highly advantageous.
- A strong academic background, having attended a Top 50 law school.
- Excellent drafting, negotiation, and project management skills, with the ability to manage transactions from due diligence through to completion.
- Confidence working directly with clients, in-house counsel, and senior stakeholders, alongside a collaborative approach to working across multiple practice areas on complex transactions.
