Overview
In this role, you help optimize taxes for complex buy-side and sell-side transactions, focusing on partnership tax matters. You will work within the Partnership Consulting & Modelling Group to model allocations, analyze tax exposures, and support due diligence. You will collaborate with core tax teams to deliver high-quality tax and economic modeling for formations, restructurings, and acquisitions. This position offers opportunities to shape deal structures, publish technical insights, and present at conferences in a fast-paced, client-driven environment.
Responsibilities
- Develop partnership income and debt allocation models, Section 704(c) tracking, and other complex items for tax return support
- Perform high-level and detailed tax/economic modeling for partnerships-related transactions (formations, restructurings, acquisitions, dispositions)
- Prepare complex distribution waterfalls and income allocations ensuring Section 704(b) compliance and detailed purchase price allocations
- Provide technical U.S. federal tax guidance for due diligence, mergers, and acquisition projects within the group
- Analyze target company tax data to assess historical trends, exposures, and opportunities, coordinating with tax/accounting providers
- Design efficient tax structures for acquisitions/dispositions/restructurings, including basis step-up and tax efficiency considerations
- Manage projects and contribute to the growth of the practice, ensuring timely, high-quality deliverables
- Support proposals and business development, including marketing materials, and author technical articles for publication
- Travel domestically as needed for client meetings and firm events
- Provide leadership and mentorship to staff at various levels
Key requirements
- Bachelor’s in accounting or equivalent; Master’s in Taxation or JD with LLM in taxation preferred
- Minimum 10 years of relevant experience, preferably in public accounting or law firm
- CPA and/or licensed attorney required
- Extensive experience in partnership tax consulting including 704(c), 704(b), tax capital tracking, and basis adjustments
- Proven experience with private equity firms and strategic buyers/sellers
- Strong analytical skills for complex business/transaction analysis
- Proficient in tax and economic modeling
- Experience supervising and mentoring staff
