We are currently seeking a Corporate M&A Lawyer to work with various Axiom clients across all industries.
Responsibilities
- Advising on a broad range of corporate transactions, including mergers, acquisitions, disposals, restructurings, flotations, takeovers, buy-ins, buyouts, joint ventures, and private equity and fund investments, providing strategic input throughout the transaction lifecycle.
- Supporting transaction structuring, due diligence, risk assessment, and execution, working closely with stakeholders to deliver commercially focused outcomes.
- Drafting, negotiating, and reviewing a wide range of corporate documentation, including share purchase agreements, ancillary documents, disclosure letters, engagement letters, confidentiality agreements, offering memoranda, shareholders’ agreements, and joint venture agreements.
- Leading negotiations with counterparties, advising on key contractual provisions, transaction mechanics, warranties and indemnities, and completion arrangements, and preparing clear summaries for senior stakeholders.
- Providing guidance and support on corporate policies and governance matters, including board processes, shareholder arrangements, and regulatory compliance, ensuring alignment with best practice and internal standards.
Minimum Qualifications
- Good academic credentials and post-qualification experience.
- 4+ years of substantive M&A experience, including experience representing investment banks and corporates in public company M&A transactions.
- In-house legal experience is preferred (directly, or as a secondee) but is not essential.
- Strong commercial understanding, and excellent interpersonal skills.
- You must have the right to work and be eligible to practice as a lawyer in the UK.
