Job Overview: The organisation is looking for a Governance Manager to join its Governance and Compliance team. As the Governance Manager, you will be working closely with the Head of Governance and Compliance, helping to ensure effective governance structures, frameworks and processes are embedded across the organisation. This is a great opportunity for someone who can provide expert governance advice, influence senior stakeholders and support transparent, accountable decision-making.

Working as the Governance Manager, you will work with Board and Committee Chairs, senior leaders, colleagues and Joint Venture partners, helping to maintain high governance standards, manage governance risk and support continuous improvement.

Duties:

  • Governance Frameworks: Lead the development, implementation and monitoring of governance frameworks, policies and procedures in line with regulatory requirements, best practice and organisational values.
  • Board And Committee Support: Manage Board and Committee meeting cycles, including agenda planning, paper coordination, minute-taking, action tracking and ensuring decisions are accurately recorded and followed through.
  • Governance Advice: Provide expert advice and support to Board Committees, Chairs, senior leaders, colleagues and Joint Venture partners.
  • Risk And Compliance: Identify and support the management of governance risks, ensuring compliance with relevant legal, regulatory and ethical standards.
  • Company Secretarial Activity: Maintain statutory company registers, manage Companies House filings and support wider company secretarial and corporate governance matters.
  • Governance Reviews: Support annual Board and Committee effectiveness reviews, ensuring governance arrangements remain effective and Terms of Reference are maintained.
  • Document Management: Manage the signing and sealing of documents across the Group, liaising with authorised signatories and internal stakeholders.
  • Reporting: Produce accurate governance, compliance and risk reports for senior leadership and the Board.
  • Continuous Improvement: Work with senior stakeholders to improve governance systems, processes and practices in line with feedback and evolving best practice.
  • Annual Governance Activity: Support the approval process for annual reports and financial statements, as well as the annual AGM programme.

Candidate Requirements:

Essential:

  • Proven experience working in governance within a highly regulated environment or company.
  • Proven experience in governance, corporate governance, risk management or compliance within a large or complex organisation.
  • Strong experience supporting Boards and Committees, including meeting management, preparing papers, governance advice and high-quality minute-taking.
  • Strong understanding of governance frameworks, regulatory requirements and compliance standards.
  • Experience managing statutory registers, Companies House filings and wider company secretarial activities.
  • Excellent interpersonal and communication skills, with the ability to engage confidently with stakeholders at all levels.
  • Strong attention to detail, particularly when working with governance documentation, reports, records and minutes.
  • Ability to manage multiple priorities, anticipate challenges and deliver accurate work to deadlines.
  • Strong commitment to ethical standards, transparency and accountability.

Desirable:

  • Professional qualification in Governance, such as ICSA / CGI, or a similar relevant qualification.
  • Knowledge of housing regulation, housing law and governance requirements within the housing sector.
