Key responsibilities

  • Partner closely with asset class teams to support investment activity, primarily related to real estate and infrastructure.
  • Lead legal due diligence for proposed investments and co-invests, with a focus on indirect infrastructure, property and debt.
  • Identify, manage and mitigate legal risks across transactions.
  • Negotiate and draft transaction documentation and commercial agreements.
  • Provide strategic legal advice across new and existing investments.
  • Manage relationships with external legal and due diligence advisers.
  • Advise on legal documentation and commercial terms for direct investments, fund investments, co-invests and co-underwrites and external manager appointments.
  • Develop and maintain robust legal controls, precedents and review processes.
  • Ensure accurate, complete and well-governed investment documentation.
  • Support transaction management for acquisitions, divestments and portfolio operations.
  • Stay across legal and regulatory developments impacting investment activity and brief senior stakeholders.

What You’ll Need

  • Qualified Solicitor in England & Wales.
  • Clear, concise communication style.
  • Significant exposure working in private practice or in-house investment legal roles.
  • Extensive experience working with direct and indirect investments within infrastructure, property, or private equity transactions.
  • Exposure working on large-scale corporate/commercial transactions with robust knowledge of shareholder arrangements.
  • Strong background in M&A teams, investments and divestments.
  • Excellent commercial judgement and stakeholder management skills.
  • Proven ability to manage complex transactions and multiple workstreams.
  • High-level understanding of due diligence and regulatory frameworks.
  • Collaborative, collegiate, high-performance mindset.
