Are you an experienced professional in company secretarial and corporate governance looking for an exciting new role? We are currently recruiting for a Company Secretary to join a fast-paced and dynamic business. This is an excellent opportunity to support a diverse range of client entities while taking ownership of their governance and statutory requirements.

As Company Secretary, you will provide governance and company secretarial support to a diverse portfolio of client entities, including both regulated and unregulated structures. You’ll manage various responsibilities to ensure compliance with statutory, corporate governance, and regulatory frameworks.

Key Responsibilities:
  • Provide full company secretarial support, managing governance and statutory requirements for client entities.
  • Maintain and update company records, statutory registers, and filings.
  • Ensure compliance with relevant corporate governance and regulatory frameworks.
  • File statutory documents with relevant regulatory authorities (e.g., annual returns, changes to directors, share capital updates).
  • Support the incorporation and liquidation of entities and manage structural changes.
  • Liaise with clients, auditors, legal advisors, regulators, and other stakeholders on governance matters.
  • Contribute to governance initiatives and process improvement projects within the company secretarial function.
  • Coordinate board and shareholder meetings, preparing agendas and board packs.
What We’re Looking For:
  • At least 2-4 years of experience in a company secretarial or governance-related role.
  • Strong knowledge of corporate governance and company law.
  • Excellent written and verbal communication skills.
  • High attention to detail and the ability to manage multiple deadlines effectively.
  • Proficiency in MS Office and familiarity with entity management systems is advantageous.
  • A proactive, collaborative approach to problem-solving and stakeholder management.
  • Relevant qualifications (e.g., ICSA/CGI, LLB) are desirable, either part or fully qualified.
