This role provides an excellent opportunity for a governance professional with strong attention to detail to join our Company Secretarial team. As a Company Secretarial Assistant, you will play a vital part in supporting the delivery of Group's corporate governance framework, ensuring that the Board, its committees and group entities operate effectively, transparently and in accordance with statutory and regulatory requirements. The position requires a confident and effective individual with excellent communication skills, capable of adapting their approach to interact successfully with diverse business areas, and able to thrive in ASOS's dynamic environment. Success in this role is helping the Deputy Company Secretary to ensure that the Board has complete confidence that the team have appropriately handled all matters relating to the operation of the Plc Board and the performance of the Department.

Responsibilities

  • Support the Deputy Company Secretary with Plc Board and Committee meetings, including organising agendas, distributing papers promptly, maintaining minute books, tracking attendance and minutes, and assisting with future agenda planning.
  • Assist with organising Board inductions.
  • Act as Secretary to the ASOS Foundation, the Risk, Privacy & Compliance Committee.
  • Assist with the logistics and catering for Board meetings.
  • Assist the Deputy Company Secretary with organising the Annual General Meeting; assist with drafting and distributing necessary documentation; liaise with Registrars.
  • Assist with the project management and preparation of the Annual Report and Accounts, including drafting certain governance sections and review of the non‑financial aspects.
  • Support compliance with Listing Rules, Disclosure Guidance and Transparency Rules, Market Abuse Regulation and market announcements.
  • Assist with the loading and release of Regulatory News Announcements.
  • Assist with maintenance of the Company Secretarial areas on the corporate website (www.asosplc.com).
  • Group entity administration, including director appointments/removals, timely filing of confirmation statements and statutory accounts, coordination with service providers, and drafting minutes and resolutions.
  • Keep statutory registers and company records up to date.
  • Coordinate with the Reward team and external share scheme administrators for efficient management of ALTIS and SAYE.
  • Work with registrars and the EBT on award vesting and new share issuances.
  • Monitor regulatory developments and support the implementation of best practice.
  • Contribute to governance projects and strategic initiatives, leveraging AI where possible.

Qualifications

  • Chartered Governance Institute / ICSA qualified, or part qualified.
  • Solid experience in company secretarial and corporate governance within a UK main market listed organisation.
  • Excellent attention to detail and organisational skills.
  • A proactive and collaborative approach.
  • Good interpersonal and presentation skills along with the ability to communicate confidently and effectively.
  • Comfortable working in a professional, fast‑paced, high activity environment, on a wide variety of matters with agility to shift from one situation or task to another.
  • Good research, analytical and critical thinking skills.
  • Able to act with discretion, confidence, and diplomacy.
  • Proficient in Microsoft Outlook, Word and Excel. Experience with Copilot also an advantage.
