Essential skills and experience:
- Provide legal advice and support to the CFO Division and other business divisions on a wide range of structured finance matters.
- Work closely with the business on the structuring and documentation of asset rotation, capital optimisation, insurance, and structured finance transactions across multiple asset classes, including retail mortgage loans, unsecured personal loans, and commercial banking assets.
- Advise on the structuring, negotiation, and execution of transactions including traditional and synthetic securitisations, significant risk transfers (funded and unfunded), CLOs, asset sales, and contracts of insurance.
- Provide guidance on CRR, capital and liquidity rules and regulations, capital optimisation strategies, and regulatory compliance matters.
- Draft, review, and negotiate transaction documentation, hedging agreements, NDAs, marketing materials, investor presentations, and engagement letters with third‐party service providers.
- Support the drafting, review, and negotiation of documentation relating to the issuance and distribution of structured notes and the execution of derivative transactions.
- Monitor legal and regulatory developments in the structured finance space, track regulatory consultations, and participate in internal and external working groups.
Essential Skills:
- Qualified solicitor or barrister in the UK (or equivalent commonwealth jurisdiction), with experience in a leading law firm and/or in‐house.
- A proven track record of advising on complex securitisation transactions across multiple asset classes and structures.
- Extensive experience in the structuring, negotiation, and execution of structured finance transactions, including traditional and synthetic securitisations, significant risk transfers (funded and unfunded), CLOs, asset sales, and contracts of insurance.
- Ability to monitor and interpret legal and regulatory developments in the structured finance space, and to translate these into practical advice.
- A proactive, commercially minded approach, with the ability to work both independently and collaboratively within a fast‐paced financial services environment.
