Ashurst Perkins Coie is seeking a motivated mid-level Associate to join their market-leading Investment Funds team in London, England, United Kingdom. The role involves advising fund sponsors, institutional investors, and financial institutions across a broad range of fund formation, structuring, and alternative investment matters.
Key Eligibility Criteria
- Qualified solicitor (England & Wales).
- Approximately 3-5 years Post Qualification Experience (PQE) in an investment funds or asset management practice at a reputable law firm.
- Good working knowledge of fund structuring, limited partnership law, and relevant regulatory frameworks.
Responsibilities & Scope of Work
- Assisting in advising fund managers and sponsors on the establishment and structuring of private investment funds (private equity, venture capital, real estate, credit, and infrastructure).
- Drafting, reviewing, and negotiating key fund documents including limited partnership agreements, private placement memoranda, subscription documents, side letters, and investment management agreements.
- Supporting advice to institutional investors (pension funds, sovereign wealth funds, insurers, family offices) on fund investments, co-investments, and secondary transactions.
- Assisting with advice on fund governance, investor terms, fee arrangements, and carried interest structures.
- Coordinating with tax, regulatory, and specialist teams on cross-disciplinary matters.
