This predominantly remote role, with occasional attendance in London, offers a flexible commitment of three days per week and reports directly to the General Counsel. An established investment platform with a long-standing focus on sustainability, innovation and science-led businesses is seeking a commercially astute Legal Counsel to support both the fund management business and its portfolio companies. This newly created position provides significant autonomy and breadth, acting as the principal legal adviser across a diverse range of commercial, corporate and operational matters while working closely with senior leadership and portfolio management teams. It is well suited to an experienced lawyer who enjoys variety, values practical problem-solving and is comfortable operating independently within a lean, entrepreneurial environment.

The Legal Counsel will manage the day-to-day legal needs of the investment platform and its portfolio, advising across a wide spectrum of commercial and corporate matters. Responsibilities include drafting, reviewing and negotiating commercial contracts such as NDAs, term sheets, supply and procurement agreements, O&M agreements, PPAs, land options and leases, employment and consultancy agreements, and IP licences. On the corporate side, the role involves preparing and reviewing SPAs, APAs, shareholders' agreements, articles of association, board resolutions, corporate approvals and completion documentation. The position also encompasses broader legal operations and transactional support, including assisting with investment and corporate transactions from inception to completion, managing execution processes, supporting onboarding and KYC requirements, updating internal policies and governance documents, advising on employment, property and general commercial issues across the portfolio, and coordinating external counsel where required.

The ideal candidate will be a qualified solicitors with a strong grounding in commercial and/or corporate law gained in private practice, industry or both. The organisation is open-minded regarding sector background and does not expect candidates to have experience with every contract type listed, provided they demonstrate strong technical foundations and sound commercial judgement. Candidates will bring solid commercial and corporate experience, pragmatic business-facing advice, strong drafting and negotiation skills, confidence operating independently, excellent organisational skills and an interest in working closely with investment professionals and growing businesses. Previous in-house experience is advantageous but not essential.
