Core Responsibilities
- New Incorporations: Prepare Constitutions & register entities via BizFile+, issue share certificates & initial statutory registers, maintain Register of Registrable Controllers (RORC) and beneficial ownership records.
- AGM Management: Schedule AGMs within 6 months of FYE (S175 compliance), draft resolutions, minutes, and proxy forms, coordinate with auditors/tax agents to ensure financial statements (incl. XBRL filing) are ready ahead of AGM and AR deadlines.
- Annual Returns (AR): File AR with ACRA within 7 months of FYE, update shareholder/director registers.
- Directorship/Shareholding Changes: Process appointments/resignations (File Forms 45/45B within 14 days), maintain Register of Nominee Directors, process share transfers, allotments, rights/bonus issues, and capital reductions.
- Director Resignations: Handle cessation filings, update registers and manage shareholder notifications.
- Corporate Changes: Process registered office address, company name, and SSIC code changes, draft and file constitution amendments (special resolutions), register and satisfy charges/mortgages with ACRA.
- Strike-Off/Dissolution: Manage voluntary strike-off applications (Form 15C), coordinate with liquidators and creditors.
- e-Stamping @ IRAS: Handle stamp duty applications for share transfers/property transactions, submit documents via IRAS e-Stamping portal.
- Immigration & Work Pass Applications: Process first-time applications and renewals for Employment Passes (EP), Dependant's Passes (DP), and Long-Term Visit Passes, prepare and submit Permanent Residence (PR) applications, including via family office and Global Investor Programme (GIP) routes, liaise with MOM, ICA, and EDB on application status and follow-up queries, advise clients on eligibility criteria and documentation requirements for work passes and PR/GIP applications.
- Compliance Monitoring: Track deadlines for AGMs, ARs, BizFile+ submissions, and work pass renewals, advise clients on Companies Act and immigration policy updates, conduct KYC/CDD checks on new clients in line with AML/CFT obligations as a registered filing agent.
Mandatory Requirements
- Qualifications: Minimum 2 years in a Singapore corporate secretarial role. Prior exposure to immigration/work pass processing is an advantage.
- Technical Skills: Expertise in BizFile+, CorpPass, and IRAS e-Stamping. Familiarity with MOM's work pass portals (an advantage).
- Language: Fluent in English; conversational Mandarin required to liaise with Chinese-speaking clientele.
- Knowledge: In-depth understanding of Companies Act, ACRA regulations, and basic familiarity with Singapore immigration frameworks (EP/DP/PR/GIP) under MOM and EDB.
