Job Overview:
The Fund Governance Officer (Manager) leads and oversees a team responsible for the delivery of Company Secretarial and Registered Office Services to clients

- You are comfortable in a sales and onboarding environment, able to well articulate their service offering and help prospects navigate legal and regulatory fund governance solutions.
- You have experience relevant to this role (typically 10+ years) and in supporting a variety of Corporate and fund structures, including UK Investment Trusts, Real Estate Investment Trusts (REITs), and Venture Capital Trusts (VCTs) and like to keep up-to-date with the latest trends in governance practice. Experience in private wealth and trusts would be considered an advantage.
- You hold a Bachelor’s degree (or higher/equivalent) and are a UK/Irish Chartered Governance Professional. You have a great command of English and are comfortable with exposure to structures in other jurisdictions (including Ireland, Luxembourg, Cayman, Switzerland).
Your Responsibilities and Duties
Leadership Responsibilities:
- Overtime; establish, lead and mentor a team of corporate secretaries and dedicated minute takers to deliver top-tier, responsive and quality focused company secretarial services commensurate with their corporate culture and product offering.
- Manage a portfolio of boards and clients as the lead relationship manager, responsible for overseeing the delivery of services.
- Attend prospect meetings to support the sale of their product offering with respect to corporate governance and support the onboarding process of new business.
- Track events for invoicing purposes and manage the invoicing process through to collection of fees.
- Assist with the development of their culture, product offering and corporate governance. Critically review processes and look for opportunities for improvement (especially standardisation, automation, reducing risk) consistent with the company’s ethos.
Operational Responsibilities:
- Oversee and deliver Company Secretarial and Registered Office Services in a team environment on a timely basis consistent with client commitments/SLAs.
Core responsibilities include:
- Supporting our UK entity with its governance and legal obligations.
- Acting as a key point of contact with clients, boards, administrators, regulators, counsel and other third parties.
- Ensuring compliance with listing rules, UK corporate governance codes, FCA regulations, and Companies Act requirements.
- Support clients and boards with best corporate governance practice.
- Organise and attend Board, Shareholder and Committee meetings for a varied portfolio of clients.
- Take and/or review meeting minutes and resolutions.
- Facilitate and project manage transactions.
- Support company incorporations.
- Prepare and submit statutory filings, regulatory disclosures, and shareholder communications.
- Maintain corporate records and statutory registers.
- Presenting a professional image in line with our company culture: enthusiastic, upbeat and engaging.
