We have a fantastic opportunity for a Legal Counsel to join our in-house Legal team, based at our London office. Interested? The role will involve providing broad, business-facing legal support across AMP, working under the direction of the General Counsel and alongside colleagues across the wider Legal team. You’ll work across a varied mix of commercial and corporate legal matters, real estate and projects, disputes and company secretarial work, providing practical and commercially focused advice that supports AMP’s continued growth. This is a varied, hands-on role where you’ll have the opportunity to take ownership of your own matters, work directly with teams across the business and support projects from development and contracting through to delivery and operation.
Key responsibilities will include:
- Acting as lead legal adviser on AMP’s heat decarbonisation and electricity projects, drafting and negotiating a broad range of commercial agreements including energy supply agreements, O&M agreements, offtake agreements, supply and services contracts, NDAs and procurement agreements.
- Working with our project delivery teams to draft, review and negotiate construction agreements, including JCT, NEC4 and IChemE forms and bespoke contracts, and providing legal support throughout project delivery.
- Providing clear, pragmatic advice on contractual provisions, commercial risk, liability and contract enforcement.
- Advising on corporate matters including Group structuring, intra-group arrangements, financing documentation and acquisitions or disposals, working alongside external counsel where required.
- Supporting the continued growth of AMP’s Battery Box portfolio, including title reviews, negotiating site leases and supporting easements, wayleaves and grid connection agreements.
- Supporting the business with disputes and claims, working directly with internal teams and external counsel where appropriate.
- Taking day-to-day ownership of company secretarial matters, including Companies House filings, statutory books and registers, board and committee support and corporate records.
- Working closely with stakeholders across AMP’s operations, commercial, finance, development and project teams, as well as external advisers, shareholders and lenders.
What we are looking for:
- A commercially minded and pragmatic qualified lawyer who enjoys working closely with a business, taking ownership of matters and finding practical solutions.
- Qualified solicitor/lawyer with a minimum of one year’s post-qualification experience (PQE), ideally with an England and Wales or Scottish qualification or relevant experience working within the UK legal environment.
- Strong legal drafting, review and negotiation skills.
- Good knowledge of commercial and contract law, with experience across a broad range of commercial and corporate matters.
- The ability to translate legal risk into clear, practical and commercially focused advice.
- Excellent communication and stakeholder management skills, with the confidence to build effective working relationships across the business.
- Strong organisational and prioritisation skills, with the ability to manage a varied workload and competing deadlines.
- A proactive and collaborative approach, with the confidence to take ownership while recognising when matters should be escalated or additional guidance sought.
- Excellent attention to detail and a high level of accuracy.
- Experience of real estate, construction, company secretarial and/or dispute matters would be particularly valuable, as would previous experience within the energy, infrastructure or utilities sector.
- Previous in-house experience would also be advantageous.
