Duties / Scope of Placement
The individual will work within the AMBA team, supporting a range of corporate governance projects, with a particular focus on UK Corporate Governance within the listed company environment. AMBA is a boutique corporate governance and company secretarial service provider working with companies listed on the Main Market, Alternative Investment Market (AIM), FCA regulated and private limited companies, across a wide range of industries and geographical locations. Our key services include:
- Corporate Governance and Regulatory Compliance
- Board & Committee Support
- Shareholder Meeting Support
- Statutory Filings & Company Maintenance
- Annual Report Drafting & Project Management
- Board Evaluations
The individual will gain an understanding of UK Corporate Governance, the Companies Act 2006 and the role of governance professionals within the UK serving FTSE, AIM, and FCA regulated businesses. There will also be opportunities to attend client meetings, in particular shareholder meetings such as AGM’s.
Key tasks will include:
- Marketing: assist with drafting LinkedIn posts, newsletters, Marketing brochure, and Website
- Assisting with Board / Committee meetings
- Drafting Governance Sections of Annual Reports
- Drafting documentation for Shareholder Meetings
- Attending Shareholder Meetings
- Monitoring Proxy voting
- Assisting with Board Evaluations
- Option / Warrant scheme analysis
- Conducting regular reviews of corporate governance disclosures
- Assisting with KYC Checks
- Understanding the core requirements of UK Market Abuse Regulations, the Companies Act 2006, Corporate Governance codes, including UK Corporate Governance code, QCA Code and Wates Principles
Skills / Attributes Required
- Strong attention to detail and accuracy
- Clear and professional written and verbal communication skills
- Good organisational and time management skills, ability to manage multiple tasks and deadlines
- Ability to work effectively as part of a team, while also being comfortable working independently
- A proactive and positive attitude, with a willingness to take initiative
- Strong problem-solving skills and the ability to think logically and methodically
- Confidence working with Microsoft Word and Excel
- Ability to handle confidential information with professionalism
- An interest in corporate governance, regulation, or professional services
