SRG are working with a leading Chemicals company seeking a Senior Assistant Company Secretary to join the team.
JOB PURPOSE
To support the Deputy Company Secretary in delivering a high-quality Company Secretarial service that meets the needs of a global FTSE 250 organisation, across all areas of its activities, including in developing and raising the profile of the team across the group.
- PRINCIPAL ACCOUNTABILITIES
- Devise, implement and monitor compliance with global best practice policies and
- Ensure robust governance and statutory compliance across the group is maintained, with a particular focus on the company overseas subsidiaries, including by:
- Building and maintaining strong collaborative relationships with the overseas contact network and global overseas governance provider
- Advising colleagues on all subsidiary governance matters, including facilitating approvals and decision‑making processes.
- Leading the annual review of subsidiary board composition and recommending changes where
- Delivering training on directors' duties and governance requirements.
- Act as Secretary to the Audit Committee, working closely with the Chair and Chief Financial Officer to agree agendas, prepare and circulate papers, minute meetings and maintain the action list.
Draft Audit Committee report for the Annual Report and Accounts.
- Oversight of day‑to‑day subsidiary compliance, supporting complex legal matters. Provide comprehensive company secretarial support for corporate restructurings and M&A
- Lead the Legal Entity Rationalisation programme to reduce the number of legal entities in the Group, ensuring the structure is fit for purpose - including supporting execution of plans, corporate approvals, part of location strategy working group
- Draft the Notice of Meeting and ancillary documents for the
- Lead on drafting the Governance Report within the Annual Report and Accounts and the verification process and support the Deputy Company Secretary in the overall project management and delivery of the Annual Report.
- Oversee the preparation, stationery review and approval process for JMPLC dividends.
- Prepare RNS announcements, including director/PDMR shareholdings and major shareholding notifications.
- Support the preparation and submission of information to external rating agencies (e. g. CDP), ensuring accuracy, consistency and alignment with Group disclosures.
- Support compliance with best practice corporate governance requirements particularly in relation to the UK Corporate Governance Code
- Support and contribute to the annual review of Corporate Governance Framework.
- Embed the Delegated Authorities Framework, advising colleagues on approval authorities.
- Oversee Global Policy Framework and Global Policy Share Point site to ensure integrity, consistency and robust governance, and manage policy communications to maintain a clear and aligned approach across the group.
- Advise on and ensure compliance with the FCA's UK Listing Rules and Disclosure Guidance and Transparency
- Work closely with cross‑functional teams on strategic projects, including M&A transactions and corporate restructurings, providing company secretarial support and governance advice.
- Support KYC and AML requests, providing corporate information and documentation to Group Treasury and other functions.
- Lead the co‑ordination and submission of external governance disclosures and regulatory data returns, including government‑backed and contributing to EU sustainability reporting developments
- Support the delivery of shareholder programmes with the registrar and ensure these are optimized and
- Manage relationships with key third party service providers
QUALIFICATIONS/ KNOWLEDGE/ EXPERIENCE
- Chartered Secretary or Chartered Governance Professional (ACG)-
- Minimum 5 years post‑qualification relevant experience of working in a company secretarial department of a listed company or professional services firm-
- Previous experience of working in an international environment, including oversight of overseas subsidiaries
- Ability to manage competing priorities and work across multiple jurisdictions and businesses simultaneously -
- Strong technical knowledge with a good understanding of current legislative, regulatory and corporate governance best practice requirements-
- Educated to degree level or equivalent -
- Proficient in Microsoft Word, Excel and Powerpoint -
- Good working knowledge of Blueprint software or similar-
- Good working knowledge of Diligent Boards or similar -
