Provide in-house company secretarial and legal assistance to support the business activities of Allied World in Europe. This role will support and report to the legal counsels in London and Dublin.
Duties and Responsibilities
- Company secretarial activities, including drafting of agendas, minutes, written resolutions and related corporate materials for the Boards and committees, and overall coordination, preparatory duties and stakeholder management.
- Assist in fulfilment of corporate governance requirements.
- Prepare and update company registers and assist with regulatory applications and filings.
- Maintain legal, regulatory and compliance files, and ensure corporate records are up-to-date and in good order.
- Assist with preparation and compliance processes regarding annual, quarterly and other company returns.
- Prepare legal documents, assist in facilitation of transactional / administrative projects, and provide administrative support to the Legal & Compliance Department.
- Assist with disaster recovery procedures.
- Assist with due diligence and KYC requests and liaise with auditors.
- Update and collate information on legal and regulatory developments.
- Assist on Legal & Compliance Department matters as may be requested from time to time.
Person Specifications
- 6 to 10 years relevant company secretarial experience with a recognized law firm, corporate legal department or other professional services firm.
- Excellent writing and communication skills in all media, with high level of attention to detail and extensive experience in meeting preparation and minute taking.
- Experience in insurance or financial services.
- College degree and a CILEx qualification or equivalent paralegal training or degree.
- Experience with Companies House, PRA, FCA, Lloyd’s and/or CBI matters.
- Excellent organizational skills.
- Highly pro‑active, professional and approachable with a 'can‑do' attitude.
- Capable of working independently and in a team environment.
- Able to manage time, manage multiple projects simultaneously, meet deadlines, set stakeholder expectations and prioritize effectively.
- Strong working knowledge of the Microsoft Office suite and BoardVantage.
