Role Overview
This role will focus on managing all aspects of Board and Board sub-committee administration, as well as assisting with core company secretarial responsibilities to ensure compliance with statutory and regulatory obligations. We are seeking a proactive and detail-oriented Assistant Company Secretary to support the effective governance of the bank.
Board & Committee Support
- Coordinate and manage the scheduling of Board and Board sub‑committee meetings
- Prepare and distribute agendas in consultation with the Company Secretary, CEO and Chair
- Compile and circulate high‑quality committee packs using Board Intelligence
- Attend meetings to take accurate minutes and track action items
- Maintain forward planners and ensure timely follow‑up on matters arising
- Assist in annual assessment of board effectiveness
Company Secretarial Duties
- Maintain statutory registers and ensure timely filings with Companies House
- Assist with the preparation and submission of annual returns and confirmation statements
- Support the onboarding and off‑boarding of directors, including Companies House filings, induction materials and arrangement of induction meetings
- Help ensure compliance with the bank's articles of association, corporate documents and governance framework
- Assist with the preparation of governance sections of the annual report and other regulatory disclosures
Governance & Compliance
- Support the implementation of governance and best‑practice internal policies
- Monitor regulatory developments relevant to company secretarial practice and assist in updating procedures accordingly
- Maintain accurate records and support internal and external audits as required
Qualifications
- Qualified or working towards qualification with ICSA (or equivalent)
- Experience in a company secretarial role within financial services or a regulated environment
- Strong organisational and time management skills with the ability to manage multiple priorities
- Excellent written and verbal communication skills
- High attention to detail and discretion in handling confidential information
- Self‑starter with the ability to work with minimal supervision
- Experience supporting senior executives and non‑executive directors
