The Role:
On behalf of our client we are seeking a Governance Manager . This is a key role in their business and you’ll be reporting to the Director of Business Services. In this role you’ll role will be pivotal to the board’s success ensuring that all parties are kept up to date, information is produced on time and accurately and ensuring that their compliance and governance are maintained.
You’ll also be an ambassador, developing strong relationships with their partners, stakeholders, board members and customers.
Responsibilities will include:
Manage compliance with company law and other legal obligations upon the group, including formal record keeping requirements and provide advice on decision making processes and other aspects of good governance practice
Ensure a high level of understanding of governance, legislation and regulation
Continually seek improvements in Board and governance practices to drive high standards and effective levels of governance
Ensure standing orders and decision-making delegations are regularly reviewed and advise on changes to ensure compliance
Produce accurate and timely draft governance reports for board and committee level meetings
Assist with Company Secretary duties and undertake necessary actions including organising the signing deeds and other formal agreements, maintaining registers and corporate filings
Ensure that governance services are customer focused, aligned to the requirements of the business and equip colleagues with skills to be successful and productive
Support the business in evidencing statutory and regulatory compliance
Deliver compliance assurance regarding links between governing structures (SLT, Board and Committees), governing instruments and board membership
Build and maintain effective and productive working relationships with internal colleagues and a broad range of external stakeholders.
Delivery of high quality, comprehensive governance service to the Board its committees and working groups
Work with the Director of Business Services to deliver development and training for Board members as individuals and a collective, including appraisals, skills analysis and succession planning activities
Be responsible for all Board Member logistics and payments
Be responsible for Agenda work plan; Schedule, prepare and circulate board packs for all Board and committee meetings,
Produce accurate and timely draft minutes for all board and committee meetings
Be responsible for managing budgets and contracts with appointed suppliers and consultants
Work closely with all members of the Business Services Directorate on the implementation and ongoing management of electronic document management systems
The Person
For this role our client is looking for someone who has supported at board level and ideally has worked in a regulated organisation. You may have already gained ICSA or professional legal qualification (member or studying) or able to demonstrable company secretarial experience (desirable)
You will also have the following skills and experience for this role:
Experience of company secretarial or board support experience in a substantial commercial or not-for-profit business or regulated company
High levels of attention to detail
Excellent planning, scheduling and coordination skills
Good influencing and negotiating skills
Team focussed with a flexible and solutions focussed approach, able to cope with unexpected and varied demands.
Strong verbal, written communication, presentation and interpersonal skills
High level IT literacy and keen adopter of digital technology and flexible working methods
Strong integrity and personal values
