Our client, a leading Marketing Technology SaaS business is seeking a Commercial Contract Manager / In house Counsel to support a growing volume of SaaS contracts with their enterprise clients and to help build the legal framework and infrastructure to support rapid business growth. The role will report directly to our client's General Counsel, based in London.
Key responsibilities:
- Supporting the sales teams in all aspects of customer agreements, from developing internal strategy, NDAs, through to negotiation and closing of full SaaS agreements.
- Managing the end-to-end flow of all contracts, from reviewing and drafting to negotiating and execution.
- Resolving client queries in contract negotiations and collaborating with internal stakeholders on specific issues.
- Assisting with the legal review and response to RFIs and RFPs.
- Improving the contracts management processes and systems.
- Providing administrative and other support to General Counsel, including research.
Requirements:
- 2+ PQE and/or extensive experience of managing contracts (specifically including drafting and negotiating licence agreements and related sales side subscription/technology contracts) and contractual operations.
- Experience working in a fast-paced environment, preferably in the tech sector.
- Strong, demonstrable knowledge of the UK legal system by way of a degree, professional qualification, or other recognised certification.
- Strong experience with data privacy rules and contracts and negotiating Data Processing Agreements/Exhibits.
- Experience in leading customer-facing negotiations.
Our preferred candidate:
- Excellent understanding of the impact of contract terms, compliance and be able to explain terms to clients and internal stakeholders in detail as required.
- Proven experience in working with sales and account teams and the client to final closure on SaaS contracts, including obtaining approvals, creating agreements, and managing their delivery and execution.
- You will have proven experience of demonstrating sound judgement even in ambiguous situations.
- You will be passionate about technology.
- You will be comfortable acting as a trusted cross-functional advisor to business teams to support the strategy, negotiation and execution of contract agreements.
- Ability to work independently with minimum supervision.
