An elite US firm in London is looking to appoint a mid‑level Private Equity Associate into its expanding team. The role will focus on sponsor‑side transactions across the UK, Europe and wider international markets, advising financial sponsors and portfolio companies across the downstream investment cycle. Matters will include management incentive plans, financings and refinancings, bolt‑on acquisitions, management change, recapitalisations, restructurings and exits.

The position will suit a private equity lawyer ready to move beyond execution support and take greater ownership of complex sponsor‑led transactions within a high‑calibre US firm platform. Working closely with partners and counsel, you will take a proactive role on deal execution, lead on drafting and negotiation, communicate directly with clients and supervise junior colleagues across core areas of the sponsor transaction process.

Candidates should offer:

  • 4-5 years’ PQE, although strong candidates outside this range may be considered
  • England & Wales qualification or experience from a similar common law jurisdiction
  • Solid financial sponsor experience gained within a recognised corporate or private equity practice
  • Experience with SPAs, management incentive documents, leaver terms, shareholders’ agreements, NDAs, disclosure letters, diligence reports and ancillary deal documentation
  • Some understanding of sponsor transaction structuring and funds flow review
  • Strong academics, excellent drafting skills and the confidence to manage responsibility in a fast‑paced environment
