An elite US-headquartered law firm is seeking an Associate to join its market-leading financial sponsors practice in London.

The practice advises financial sponsors and their portfolio companies at every stage of the downstream investment cycle - buyouts, joint ventures and consortium investments, management incentive plans, financings and re-financings, bolt-on acquisitions, recapitalisations, corporate restructurings and exits. Consistently ranked among the top firms globally for private equity and M&A, the group is most often sought out for the most complex, high-end mandates in the European market.

Sitting within the corporate group, the successful candidate will focus primarily on sponsor-led transactions, taking a leading role in drafting and negotiating SPAs, shareholders' agreements and management incentive documentation, and running work streams from due diligence through signing, closing and beyond, with direct contact with clients, partners and counsel throughout.

This is a role for a corporate lawyer who wants to operate at the sharpest end of the European private equity market, within a firm known for genuine investment in its people.

Applicants should ideally bring:

  • 3-5 years' PQE, ideally gained in the London market or a comparable common law jurisdiction (candidates either side of this range will be considered on their merits)
  • Solid experience of financial sponsor transactions, ideally with private equity exposure
  • Strong drafting and negotiation of SPAs, including locked box and completion accounts structures
  • Familiarity with management incentive arrangements, including leaver terms and related shareholder documentation
  • Proven ability to run sponsor-led work streams across diligence, drafting, signing and closing, including reviewing funds flows
  • Excellent academic credentials, first-class technical drafting and a confident, commercial approach
