As Agilio continues its exciting growth journey, we are now recruiting our first in‐house Director of Legal. This is a unique opportunity for a commercially minded, pragmatic, and strategically focused lawyer who thrives in high‐growth, PE‐backed environments. You'll operate as a trusted partner to the Executive Team and Board, shaping our legal frameworks across corporate, commercial, employment, data protection, and M&A activity. You will take full ownership of Agilio's legal landscape, establishing foundational processes, supporting strategic decision‐making, influencing organisational governance, and enabling the next stage of our scale and international expansion.

As our inaugural Director of Legal, you'll balance hands-on legal execution with strategic oversight while partnering closely with senior leadership, external legal advisors, and private equity investors.

Key Responsibilities:

  • Corporate Legal & Governance
    • Act as primary legal advisor to the Executive Team
    • Lead all corporate governance, statutory compliance, and records
    • Support private equity stakeholders on governance and regulatory matters
    • Advise on group structure, corporate reorganisations, and legal entity optimisation
  • Commercial Contracts & SaaS Licensing
    • Own and standardise all commercial agreements, including MSAs
    • Lead contract negotiations for enterprise‐level and strategic customers
    • Enhance contract templates for scalability and international use
    • Ensure robust IP protection across products and services
  • M&A and Post‐Merger Integration
    • Partner with internal M&A team, due diligence providers, and external counsel on acquisitions
    • Drive post‐completion legal actions, integration, and issue resolution
    • Support legal structures and documentation ahead of future exit events
  • Employment & People Legal Support
    • Work closely with the CHRO on employment‐related matters requiring legislative interpretation
    • Provide legal insight on complex employee relations cases
    • Coordinate external employment law guidance for high‐risk/technical matters
  • Risk, Compliance & Data Protection
    • Own and implement Agilio's legal risk framework
    • Ensure compliance with GDPR and international data protection regimes
    • Build strong processes for managing Subject Access Requests
  • Private Equity & Investor Interaction
    • Serve as legal partner to PE investors and their legal counsel
    • Support financing, covenants, and shareholder agreements with the CFO and external advisors
    • Contribute to refinancing or exit preparation

Key Skills & Experience:

  • 7+ PQE solicitor (England & Wales)
  • Strong corporate & commercial background — ideally within SaaS
  • Ability to operate as the first in‐house Director of Legal
  • Excellent commercial judgement
  • Previous experience in PE‐backed or high‐growth tech environments
  • International legal exposure
  • Public sector contracting (e.g., G‐Cloud)
  • SaaS regulatory knowledge & data protection expertise
  • M&A transaction involvement
