  • About Sync Neural Genesis AG

Sync Neural Genesis AG (\"Sync\") is building the infrastructure of the new energy economy - uniting generation, transmission, settlement, and finance into one integrated platform designed to accelerate the global transition to clean energy.

Headquartered in Switzerland with this role based in London, Sync coordinates a family of connected ventures spanning gigawatt-scale energy project development, wireless power transmission (AEIR), blockchain-based energy settlement and verification (Netzium), and institutional capital vehicles for clean-energy deployment.

We are at a pivotal stage of our journey: transitioning from stealth-mode development toward institutional-scale growth.

We are seeking a CFO who has walked this exact path before - and can lead us through it again.

The Role

The CFO will serve as the strategic financial architect of the group, owning all aspects of finance across a multi-entity, multi-jurisdiction structure.

This is not a caretaker role.

The CFO will design and execute the capital strategy that carries Sync from its current stage through successive venture funding rounds and, ultimately, to the public markets.

You will be a core member of the executive team, a trusted counterpart to the Board and investors, and the public face of the company's financial credibility.

Key Responsibilities

  • Capital Strategy & Fundraising
  • Own the end-to-end capital raising strategy across Seed, Series A/B/C and later-stage rounds, through to IPO readiness and execution.
  • Lead investor targeting, pitch development, data room construction, term sheet negotiation, and closing across venture capital, growth equity, infrastructure funds, and strategic investors.
  • Structure and manage complex capital instruments (equity, convertibles, SAFEs, project finance, token-adjacent structures where applicable) across the group's holding and operating entities.
  • Build and maintain long-term relationships with institutional investors, banks, and capital markets advisors.
  • Stealth-to-Scale Transition
  • Guide the company through the disciplines of operating in stealth: confidentiality management, controlled disclosure, milestone-driven burn management, and staged market entry.
  • Design the financial narrative and metrics architecture that supports emergence from stealth with maximum credibility and valuation leverage.
  • IPO Preparation & Public Markets
  • Build the finance function to public-company standard well ahead of listing: controls, reporting cadence, audit readiness, governance, and investor relations capability.
  • Select and manage the IPO syndicate (underwriters, legal counsel, auditors), lead prospectus preparation, and drive the listing process on the chosen exchange (LSE, NASDAQ, SIX, or other, as strategy dictates).
  • Establish post-IPO investor relations, guidance practices, and public-market compliance.
  • Financial Leadership & Operations
  • Own group-level financial planning and analysis, budgeting, cash and treasury management, and scenario modelling across all ventures and project vehicles.
  • Oversee consolidated accounting and reporting under IFRS across the holding structure and subsidiaries.
  • Establish robust internal controls, cross-border tax strategy, transfer pricing, and regulatory compliance across the group's jurisdictions.
  • Lead financial due diligence for project acquisitions, joint ventures, and strategic partnerships in the energy and infrastructure space.
  • Governance & Board Engagement
  • Serve as principal financial advisor to the CEO and Board; prepare Board materials, financial reporting packs, and shareholder communications.
  • Support governance development appropriate to each growth stage, from founder-led structures through institutional and public-company boards.
  • Team Building
  • Recruit, develop, and lead the finance, accounting, and (in time) investor relations organisation.
  • Instil a culture of rigour, transparency, and commercial partnership across the group.

Essential Requirements

  • Proven stealth-to-IPO track record (non-negotiable): Demonstrable experience leading a company as CFO (or equivalent senior finance leader) through a stealth phase and successive venture funding rounds - Seed through Series stages - culminating in a successful IPO.

Candidates must be able to evidence this journey directly.

  • 12+ years of progressive finance leadership experience, including at least 5 years in a CFO or Deputy CFO capacity in high-growth, venture-backed companies.
  • Deep capital markets expertise: venture financing, growth equity, debt and project finance, and public listing processes.
  • Sector experience in one or more of: deep tech, fintech, energy, or renewables.
  • Strong command of IFRS; experience managing external audits with Big Four firms.
  • Experience with multi-entity, multi-jurisdiction group structures and cross-border tax and treasury matters.
  • Exceptional investor-facing communication skills; credible in front of institutional investors, underwriters, and analysts.
  • Highly Desirable
  • Familiarity with blockchain-based settlement, digital assets, or tokenised instruments and their regulatory treatment.
  • Experience with project finance structures for large-scale infrastructure (SPVs, PPAs, blended capital).
  • Existing relationships with international capital markets participants; knowledge of listing requirements across major exchanges (LSE, NASDAQ, SIX).
  • Experience operating within a holding-company structure with multiple ventures at different maturity stages.
  • Personal Attributes
  • Builder's mindset: comfortable creating structure from ambiguity while operating with discretion during stealth phases.
  • Strategic and hands-on in equal measure - able to set capital strategy at Board level and build a financial model personally when needed.
  • High integrity and sound judgement; a natural steward of investor and shareholder trust.
  • Resilient, mission-driven, and energised by the clean-energy transition.

What We Offer

  • A rare opportunity to architect the financial journey of an ambitious clean-energy platform from an early stage through to the public markets.
  • Executive-level compensation with meaningful equity participation.
  • A seat at the table shaping one of the defining industrial transitions of our time.
