Provide a full governance and company secretarial service to the Group. This includes:

  • Board and Committee management: manage the end-to-end process for a Board and several Committees, and executive-level meetings, including setting agendas, circulating high-quality papers via the board portal, attending meetings, and producing accurate, concise minutes and action points.
  • Entity governance and compliance: monitor changes in the legislative and regulatory landscape, advising the Board and senior management on the impact of new requirements and best practices.
  • Statutory filings and records: oversee the accurate maintenance of statutory registers and records, ensuring all filings at Companies House and other regulatory bodies are submitted promptly and accurately.
  • Stakeholder management: build and maintain strong, effective working relationships with internal and external stakeholders, including executives, non-executive directors, auditors, and regulators.
  • Broader activities: deliver initiatives that will impact the wider Group e.g. corporate transactions.
  • Process enhancement: establish, embed and continuously improve company secretarial and cross team processes.

Qualifications:

  • Qualified chartered secretary (ACG or FCG) or lawyer with 7+ years’ experience, including significant time at a senior level within a bank or other financial services organisation.
  • Solid understanding of financial services regulations.
  • Excellent understanding of the Companies Act.
  • Experience of senior level stakeholder engagement and management, specifically non-executive directors.
  • Ability to navigate difficult issues and multiple stakeholders, advising the business on key risks, and developing solutions.
  • Ability to manage multiple priorities effectively.
  • Detail-oriented, and able to produce high-quality work.
  • Excellent communication, influencing and analytical skills.
  • Experience providing governance services for a subsidiary entity within a multinational group.
