We are delighted to announce that SThree is searching for an Assistant Company Secretary to join the team. Reporting to the Deputy Company Secretary, this exciting opportunity is based in our London office at 8 Bishopsgate, on a permanent basis, hybrid working.
The focus of the Assistant Company Secretary Role is to ensure the Company Secretarial department delivers a high-class services suitable for the requirements of a global FTSE company across the SThree group.

What are the key expectations of this role?
- Managing the schedules of Board and Committee meetings and maintaining rolling agendas and action trackers.
- Overseeing the timely distribution of Board and Committee packs via Diligent.
- Maintaining accurate records relating to share capital including all employee and discretionary share plan transactions.
- Undertaking various corporate governance projects as required, including but not limited to periodic review of the Corporate Governance Framework, oversight of insider lists, scheduling of Stock Exchange announcements.
- Acting as Secretary to the ESG Committee
- Drafting sections of the Annual Report
- Managing the Annual General Meeting
- Dealing with communications from Board and Committee members.
- Ensuring that Company Secretariat has documented and streamlined checklists and processes to manage key activities, identifying opportunities to streamline and enhance them, and keeping them under review.
- Periodic review of, and monitoring compliance with, the Subsidiary Governance Framework.
- Maintaining statutory and other records for all entities within the business, ensuring the timely submission of statutory filings for those entities and the accuracy of the information on Blueprint.
- Providing company secretarial support on corporate projects.
- Mentoring and guiding the Company Secretarial Assistant, developing their technical capabilities.
- Assisting with administration of the Group’s Minority Interests scheme
- Contributing to discussions and advise on the corporate governance implications of any proposed corporate activities.
- An ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgment in dealing with sensitive and confidential issues.
- Good working knowledge of Company Secretarial Software.
- Analytical skills, with the ability to think around an issue, understanding the broader implications, devise a creative solution and proactively take the necessary action.
- Highly organised, process driven and detailed-oriented.
Qualifications
- Chartered Institute of Governance qualified (Associate)
- a minimum of 3 years PQE relevant experience working in a company secretarial department of a listed company.
