SSQ is partnering with an established European asset management firm – competent in highly structured and complex corporate and real estate opportunities in both public and private markets.
With €4bn AUM and continued growth there is a need for an experienced lawyer to join as the point person for fund formation matters across their credit platform (including closed ended, open ended and structured credit businesses). This is a broad role which involves helping to support fund formation, legal structuring, and regulatory compliance across the growing business.
It will best suit a private funds lawyer from the fund formation team of a leading law firm (or in-house equivalent) with a very minimum of 3PQE who can excel in a fast-paced environment, capable of making this role their own. Experience of private credit is advantageous.
Role Responsibilities include:
- Engaging and overseeing external legal counsel on all legal aspects of fund formation including fund structuring, draft term sheets, input on LPA, PPM and fund documentation.
- Advising on and ensuring compliance with fund regulatory requirements (e.g. AIFMD), marketing restrictions and securities laws; effective capture of external legal and regulatory advice and giving practical assistance to the IR team and wider investment team.
- Working with IR and investment teams to review investor materials.
- Assisting with establishing the operational structure of the fund.
- Assisting the team with reviewing, negotiating fund legal documents (LPA, side letters, etc), co-investment and SMA documents.
- Co-ordinating fund closing processes with external advisers, fund administrators and internal teams.
- Supporting the Head of Compliance with group compliance policies and procedures including ongoing monitoring of investment manager / AIFM / investment adviser procedures.
- Ad hoc group legal and compliance issues.
