We are delighted to announce that SThree is searching for an Assistant Company Secretary to join the team. Reporting to the Deputy Company Secretary, this exciting opportunity is based in our London office at 8 Bishopsgate, on a permanent basis, hybrid working.\\n\\nThe focus of the Assistant Company Secretary Role is to ensure the Company Secretarial department delivers a high-class services suitable for the requirements of a global FTSE company across the SThree group.\\n\\nWho will you be working for? \\n\\nSThree is the global STEM-specialist talent partner that connects sought-after specialists in life sciences, technology, engineering and mathematics with dynamic organisations across the world.

Now we're helping them shape their own futures. \\n\\nWhat are the key expectations of this role?\\n\\nManaging the schedules of Board and Committee meetings and maintaining rolling agendas and action trackers.\\nOverseeing the timely distribution of Board and Committee packs via Diligent.\\nMaintaining accurate records relating to share capital including all employee and discretionary share plan transactions.\\nUndertaking various corporate governance projects as required, including but not limited to periodic review of the Corporate Governance Framework, oversight of insider lists, scheduling of Stock Exchange announcements.\\nActing as Secretary to the ESG Committee\\nDrafting sections of the Annual Report\\nManaging the Annual General Meeting\\nDealing with communications from Board and Committee members.\\nEnsuring that Company Secretariat has documented and streamlined checklists and processes to manage key activities, identifying opportunities to streamline and enhance them, and keeping them under review.\\nPeriodic review of, and monitoring compliance with, the Subsidiary Governance Framework.\\nMaintaining statutory and other records for all entities within the business, ensuring the timely submission of statutory filings for those entities and the accuracy of the information on Blueprint.\\nProviding company secretarial support on corporate projects.\\nMentoring and guiding the Company Secretarial Assistant, developing their technical capabilities.\\nAssisting with administration of the Group's Minority Interests scheme\\nContributing to discussions and advise on the corporate governance implications of any proposed corporate activities.Skills, Knowledge & Experience … \\n\\nAn ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgement in dealing with sensitive and confidential issues.\\nGood working knowledge of Company Secretarial Software.\\nAnalytical skills, with the ability to think around an issue, understanding the broader implications, devise a creative solution and proactively take the necessary action.\\nHighly organised, process driven and detailed-oriented.Qualifications \\n\\nChartered Institute of Governance qualified (Associate)\\na minimum of 2-3 years PQE relevant experience working in a company secretarial department of a listed company.Benefits for our U.K.
