Location: UK Hybrid from one of the Penspen offices – Circa Β£100k depending on experience

Penspen are looking for a dynamic Head of Legal, Compliance, Contract Management and Risk to join the Executive Leadership Team. Ideally a Qualified Lawyer!
Main Purpose Of Role
The Head of Legal, Compliance, Contract Management & Risk is responsible for managing all legal affairs related to the structure of the organization with particular focus on contract risk and management. In addition the role leads on commercial licenses, and commercial legal compliance. This role is responsible for providing advice on corporate, commercial and legal matters including contracts, projects, disputes and negotiations as well as developing and maintaining a strong culture of compliance across the organization. This is a global role, based in the UK that will also fulfill the duties of Company Secretary.
Education Level /Personal Skills

  • Degree in law – preferably gained in Europe
  • Experience and in-depth knowledge of complex commercial law and contract negotiation
  • Experience in the creation, management & dissolution of legal entities across multiple global territories
  • Career history in the energy/ oil & gas/ power sector preferred but other sectors considered
  • Experience of resolving complex customer and supplier disputes
  • Experience of leading compliance change and management programs
  • Demonstrable ability to communicate complex concepts verbally and in writing to both non-lawyers and lawyers across all levels and functions
  • Ability to react quickly and thoroughly to unexpected tasks, managing expectations for existing work
  • Fluent written and verbal English language skill essential.

Responsibilities

  • Commercial Management – responsible for advising on the commercial and legal risks across a range of matters from project tenders to creation of operating entities in new territories.
  • Contract Governance – providing direction on the execution of projects to ensure they are executed in accordance with all relevant processes and procedures to ensure they meet Penspen’s objectives, strategic direction, and financial viability.
  • Regulatory Compliance – continuously monitor compliance with statutory obligations and advise management accordingly, including monitoring of sanctions which may also affect the company group.
  • Entity Management – ensure compliance with and be responsible for the formation and dissolution of entities or changes in entity structures at a country level.
  • Compliance – work with internal stakeholders to develop and/or refine policies and procedures for relevant regulatory compliance requirements, including data privacy, competition law, anti-bribery and corruption, anti-money laundering, sanctions, human rights, human trafficking, anti-tax evasion and other similar requirements. Oversee the implementation of Group compliance policies and procedures through appropriate training and communication where necessary.ΒΏ
  • Capability building – Implementing appropriate training programs to help embed compliance programs within the business and ensure a consistent level of understanding by colleagues around the world.
  • Data Management – Responsible for ensuring that the Company\’s collection, storing and processing of personal data complies with relevant regulations (including GDPR and others), coordinating data subject access requests and data privacy impact assessments, and other similar tasks
  • Contract Review – ensure client and supplier contracts are well negotiated, robust and apportion risk appropriately, are well understood and in accordance with Penspen principles. Prepare, review and modify contractual instruments to assist and support various business activities in the required regions.
  • Proposal Input – create innovative solutions to legal and commercial issues in bids and contracts. Liaise with Finance Department and the parent company, where applicable, for any necessary sureties.
  • Policies and Procedures – ensure legal and commercial matters are appropriately considered and represented in any/ all business initiatives, working with, and managing outside counsel as necessary.
  • Enterprise Risk Management – contribute to the management of enterprise risk through management of risk committees across the business, compliance activities, maintaining a commercial, regulatory and ethical balance and escalating key risk matters as appropriate.
  • Due Diligence – Dispute Resolution – ensure client, supplier and other disputes are managed effectively. Review progress of outstanding litigation and liaise with and manage external lawyers.
  • Stakeholder management – build strong working relationships up and down the organisation, with Regional Leadership Team peers and with client representatives to support commercial decision-making and client negotiation.
  • Insurance – managing insurance renewals/collating info, responding to insurance queries, putting new policies in place, ensure the relevant contractual insurance requirements are fulfilled.
  • Company secretarial – Companies house/regulatory filings, attending board meetings, drafting board minutes (Group companies), share allotments, dividends, capitalizations etc.
  • MEA support (insurance, legal, contract, regulatory, claims, licensing).
  • Digital transformation – THEIA digital platform associated legal considerations.
  • M&A – Support with M&A activity where required.
