Investment Banking Commercial Lawyer

Our customer, a leading Financial Services company, is seeking a highly qualified and experienced Investment Banking Commercial Lawyer to join our legal team, providing comprehensive legal support and strategic advice across a wide spectrum of commercial banking activities. This role requires a deep understanding of banking operations, financial regulations, and commercial legal matters.

Key Responsibilities:

• Provide legal support and strategic guidance on a broad range of commercial banking matters, including lending, securities, trade finance, treasury, and structured finance transactions.
• Review, draft, and negotiate a wide range of legal documents, including introducing broker agreements, commission-sharing agreements, netting agreements, confidentiality agreements, terms of business, engagement letters, placing agreements, intra-group agreements, bank guarantees, and clearing, custody, and collateral agreements.
• Advise on and prepare IT and marketing agreements, ensuring compliance with internal standards and regulatory requirements.
• Provide legal support on corporate projects, including office launches, restructurings, and joint ventures.
• Lead and manage legal due diligence processes in connection with mergers, acquisitions, joint ventures, and other strategic business initiatives.
• Advise on legal and regulatory compliance issues about banking laws, financial regulations, and industry best practices, ensuring the organisation’s adherence to applicable legal requirements.
• Collaborate effectively with internal stakeholders—including business units, compliance, risk management, and operations—as well as with external legal counsel.
• Monitor and assess legal and regulatory developments, evaluate their impact on the business, and ensure timely communication of relevant updates to stakeholders.

Candidate Profile:

• Qualified legal professional with a minimum of 12 years of post-qualification experience in commercial banking or financial services law.
• Demonstrated expertise in contract negotiation, banking law, and financial regulatory frameworks.
• Strong analytical, communication, and stakeholder management skills.
• Proven ability to work independently and manage complex legal issues in a dynamic and fast-paced environment.
