We are looking for a structured product lawyer to join our Structuring Solutions team out of Partners Group’s New York or London office to contribute to our global set of structured product offerings, including new structured product opportunities, Collateralized Fund Obligations, Collateralized Loan Obligations, Rated Feeders and other similar structures. This individual will also work very closely with the Private Credit team.
Partners Group’s Structuring Solutions team is responsible for developing highly innovative investment structures for institutional and private investors globally. Partners Group’s Private Credit team has over USD 30 billion in AuM and spans liquid credit, structured credit and direct lending strategies. At Partners Group, the Structuring Solutions team plays a pivotal role in fund and structure strategy and development, as well as ongoing servicing and lifecycle maintenance. Structuring Solutions team members work closely with the firm’s client relations, investment and operations teams, as well as directly with clients, to deliver market-leading private markets product solutions.
Responsibilities:
- Efficiently manage the design, development, and implementation of Partners Group’s structured product suite.
- Lead product design discussions, including the initial planning and implementation with senior stakeholders, investors, rating agencies, regulators and marketing stakeholders.
- Draft and/or review offering documents, warehouse agreements, CLO and CFO transaction documentation, credit agreements, engagement letters, placement agreements, service provider agreements, loan origination documentation, investment management agreements, debentures, side letters and negotiating directly and independently with investors and their external counsel.
- Effectively draft and implement payment prioritization waterfalls into legal documents.
- Ensuring the products are designed and managed to be compliant with applicable securities, securitization and insurance laws and regulations (e.g., Investment Advisers Act, Investment Company Act, AIFMD, MiFID, Solvency II, etc.) and considering tax efficiency within the context of the applicable structures and investor base.
- Develop your own service catalogue with full ownership and high autonomy.
- Keep abreast of regulatory/industry developments, specifically within the structured product and insurance space, and providing periodic updates to internal parties.
- Supporting investor-facing business development efforts by contributing to client meetings and presentations.
What we expect:
- 7+ years of relevant work experience at a top law firm, bank or asset manager focused on structuring securitization vehicles.
- Qualified lawyer in a UK or US jurisdiction with minimum 5 years PQE.
- Experience drafting and reviewing offering documents, securitization documentation, including warehouse agreements, CLO and CFO transaction documentation, rating agency engagement letters, placement agent engagement letters, service provider agreements, loan origination documentation, investment management agreements, debentures, side letters and negotiating directly and independently with investors and their external counsel.
- Familiar with structuring forms of financing options for private credit funds (ABLs, loans to SPVs) and ability to review the associated credit documentation.
- Experience structuring and drafting documents for rated feeders and CFOs.
- Knowledge of the rating process and structural features, including working with rating agencies to achieve investment grade ratings for tranches of applicable structured products.
- Familiarity with excel and experience interpreting waterfall and priority of payments.
- Strong understanding of applicable regulation, including securities and advisory regulation as well as securitization laws (e.g., Securities Act of 1933, Investment Advisers Act of 1940, Dodd Frank risk retention rules, AIFMD, Securitisation Regulation, Volker Rule, NAIC rules, Solvency II, etc.).
- Strong understanding of relevant tax considerations for structures targeting a global investor base, primarily focused on insurance companies in US, Bermuda, UK and South Korean investors.
- Excellent analytical, interpersonal and project management skills to manage multiple projects in parallel with a wide range of stakeholders.
- Ability to effectively communicate with both internal and external parties to meet ambitious fund formation timelines.
