BBVA is growing its Corporate and Investment Bank (CIB) in London. We are hiring an excellent and motivated lawyer to join our dynamic and growing UK legal team. Reporting directly to the Head of Legal in the UK, this role offers exposure to a broad range of private and structured credit products and related areas, providing a strong platform for professional development and career growth within a leading international bank.
The Private Credit team at BBVA originates, analyzes, structures, executes, and risk-manages Private Credit transactions globally, guided by investor demand. These solutions for borrowers are usually in the form of structured and privately negotiated secured loans. Risk-sharing with investors can be in one of a number of formats, including derivatives. Common themes include relative value, bespoke financing needs, and risk transformation.
KEY RESPONSIBILITIES
- Advising, drafting, reviewing, and negotiating structured credit transactions, including:
- lending to corporates, government entities, banks, and investment funds (e.g., bilateral and syndicated facilities, security agreements, commitment/mandate letters, term sheets);
- structuring and documenting financing solutions involving repackaging vehicles, notes, and/or derivatives instruments (e.g., repos, total return swaps, credit default swaps, non-payment insurance, credit-linked notes, and equity-linked derivatives);
- structuring and negotiating GMRAs, ISDA Master Agreements, Credit Support Annexes (CSAs), and bespoke derivatives documentation;
- advising on fund-related financing structures and associated risk mitigation measures;
- providing legal support for the development and execution of bespoke financing solutions, ensuring alignment with market standards and internal policies;
QUALIFICATIONS:
- Qualified solicitor in England and Wales;
- Would suit candidates with more than 4 years post-qualification experience (PQE) working in a top international law firm; additionally, prior experience in an in-house legal department is also helpful but not a prerequisite.
SKILLS/COMPETENCIES/EXPERIENCE / PROFICIENCIES REQUIRED:
- A background in structured finance or banking and finance is required; prior experience of all areas is not required but the candidate must be enthusiastic and keen to learn;
- Robust and thorough approach to drafting and reviewing documentation;
- Strong ability to work effectively in multi-cultural, geographically dispersed, virtual teams;
- Ability to work well and efficiently under pressure – working outside core office hours in order to meet deadlines, if required;
- Ability to manage a high workload consisting of a wide range of multiple competing tasks;
- Good understanding of the regulatory aspects of banking and finance;
- Spanish language skills are helpful but not essential.
