My client, a prominent US law firm, renowned for its expertise in complex, cross-border transactions and high-stakes litigation. With a strong client base spanning private equity sponsors, institutional investors, multinational corporations, and sovereign entities, The Firm combines deep sector knowledge with a collaborative, partner-led approach.

Key Responsibilities

  • Draft and negotiate fund formation documents (LLP, LPAs, side‐letters) and related ancillary agreements.
  • Advise on regulatory and structural matters, including AIFMD and FCA requirements.
  • Support on secondary transactions, co-investments and portfolio company financings.
  • Conduct due diligence and prepare client memoranda.
  • Liaise with onshore and offshore counsels, tax advisers and fund administrators.

Qualifications & Skills

  • NQ or Qualified solicitor (England & Wales) within the past 12 months.
  • Strong academic record and demonstrable interest in investment funds.
  • Excellent drafting, negotiation and analytical skills.
  • Ability to work under pressure in a fast-paced, team-oriented environment.
