We are seeking a motivated Company Secretarial Graduate to join our busy FTSE 100 secretariat team. The role of Company Secretarial Graduate will be working as part of the company secretarial team, which sits within the wider Taylor Wimpey legal team, to ensure the company, its directors and employees comply with applicable laws and regulations and maintains its high standards of corporate governance. The department acts as a point of communication between the board of directors, company shareholders, and senior leadership team, meaning the ability to deal with a variety of stakeholders at all levels is key. This entry level role is a fantastic opportunity to gain exposure to a broad remit of listed company secretarial work.

Ahead of joining the company secretarial team full-time, the successful candidate will attend formalized training and induction sessions and complete a rotation within a Taylor Wimpey business unit. As part of the graduate program, the successful candidate will also complete rotations within other Head Office functions to develop a sound understanding of how Taylor Wimpey operates.

What you will do:

  • Provide support to the Board of Directors including processing appointments and resignations at Companies House and managing the conflicts of interest register.
  • Support with preparation for Board and Committee meetings such as updating agendas, collating papers, following up on matters arising and uploading papers to Diligent as required.
  • Assist with the drafting and proof-reading of key sections in the Annual Report and Accounts.
  • Support with preparations for the AGM.
  • Maintain the major shareholder register and release stock exchange announcements as required (with a view to assuming responsibility for all routine stock exchange announcements).
  • Respond to general shareholder queries and escalate queries as and when necessary.
  • Support with the review, approval and filing of statutory accounts for subsidiary companies.
  • Maintain the register of related parties and the Group structure chart.
  • Support with updates to the Company Secretariat pages on inHouse (corporate intranet) and the external corporate (Taylor Wimpey plc) website.
  • Support with the liquidation process for companies, as and when required.
  • Ad hoc departmental projects and learn new areas as they arise.
  • Assume responsibilities of Company Secretarial Assistant during absence or illness etc. (cover/continuity/disaster planning).
  • Manage the CoSec emails inbox, ensuring emails are forwarded on and responded to as appropriate.

What you will need:

  • A 2:1 degree (ideally in Law, Finance, Business or Corporate Governance).
  • Part Chartered Governance Institute qualified or committed to working towards this qualification.
  • Proficient in Microsoft Excel, PowerPoint and Word.
  • Strong communication and interpersonal skills.
  • Full indefinite UK working rights.
  • Willingness to travel around the UK and stay away from home for short periods of time.
