Reporting to the General Counsel (based in London), the lawyer will be responsible for a broad corporate role as a trusted lawyer and key advisor on matters of key strategic and financial importance. This is a highly visible role in a well-regarded legal team. This is a full-time position, please apply only if you have the right to work in the UK. You will be an English-law qualified corporate lawyer with 3+ years’ post qualification experience. The work of the legal team is diverse; the team advises all business units on contractual and regulatory issues. Our work covers corporate, commercial, compliance, intellectual property and data protection issues, amongst others. Additionally, the team supports the work of the HR, advertising and finance functions.
What will you be doing at Miniclip?
- Managing the workflow and priorities for the corporate pillar of the legal team, including the following:
- M&A
- Running all legal aspects on M&A transactions, working closely with the corporate finance team
- Managing the legal due diligence process and coordinating workstreams with other internal diligence areas and relevant stakeholders
- Liaising with external counsel on M&A transactions
- Managing all post-closing matters and providing the relevant legal support to portfolio studios
- Ensuring a seamless integration of new business acquisitions into the broader group and putting in place new arrangements post integration
- Leading on all corporate governance matters (approval of financial statements, declaration of dividends etc.), including drafting board minutes and other ancillary documentation
- Working closely with Finance to ensure the group is compliant with all corporate regulatory matters related to the financial audit
- Leading on all intergroup legal matters, including drafting intercompany agreements and other supporting documentation
- Leading on all insurance renewals
What are we looking for?
This role will be ideal for a mid-level corporate lawyer with experience in private M&A looking to join a forward thinking, fast-moving and dynamic games company. The following skills or experience are required:
- 3+ years’ PQE qualified as a solicitor in a top tier private practice law firm or in-house role
- Strong M&A transactional experience
- Good understanding of corporate governance
- Strong organisational skills
- Excellent communication and interpersonal skills
- Can work on own initiative
- Can juggle conflicting demands and effectively prioritise
- A leader and team-player who is driven, proactive, agile and forward-thinking, with commercial acumen
