Job Description

Deputy Company Secretary – Central London, hybrid working

Graff Search is pleased to offer this Deputy Company Secretary position with a Private Bank in central London.

The role is extremely varied and business facing, where you'll be working closely with the Head of Legal in supporting their Legal / Co sec Function.

Essential Skills:

  • Strong analytical skills and ability to carry out research.
  • Strong drafting skills and attention to detail.

  • Diligent, proactive and self-motivated.
  • Ability to work independently and in a team.

USEFUL KNOWLEDGE

  • Understanding of FCA and/or PRA rules and regulations.
  • Knowledge of banking and company laws and regulations, including but not limited to the Corporate Governance Code.

Support the Company Secretary in relation to each of the following:

  1. Advise stakeholders on corporate secretarial matters.
  2. Research all legal or regulatory developments relating to corporate secretarial matters and communicate these developments to the relevant stakeholders in the bank.
  3. Update the Corporate Governance Policy and various terms of reference in line with best practice and Group policy, putting controls and procedures in place to ensure adherence.
  4. Maintain statutory books for the bank and its subsidiaries, ensuring that they are current and accurate at all times.
  5. Organise Shareholder, Board and committee meetings, including but not limited to compiling schedules, annual planners and meeting packs.
  6. Attend all Shareholder, Board and committee meetings and draft minutes / follow-up reports.
  7. Draft and advise on corporate documentation as required, including but not limited to resolutions of the Board and committees.
  8. Maintain register and trackers, arrange filings and registrations at Companies House and other registries, arrange the payment of invoices and fees, and ensure that the administrative elements of the company secretarial function are fully managed.
  9. Arrange appointments and resignations of the directors of the bank and its subsidiaries.
  10. Identify and implement effective means to rationalise the corporate structure and officerships, its subsidiaries and all other entities which it controls.
  11. Liaise with all relevant stakeholders across the firm, its subsidiaries and its parent companies, as well as with external parties (e.g. regulators) as required.
