Role Purpose:

• This role is within the Legal department. The team contributes to the overall success of the business by ensuring compliance with all relevant laws and regulations.
• Advising on a full range of transactions and corporate governance, focusing on corporate and shareholder transactions, PIC\’s reinsurance agreements, and collateral arrangements.
• Providing strategic advice on insurance regulatory compliance, risk management, and reputational matters.
• Collaborating with external counsel and internal teams to review legal documents and ensure adherence to governance standards.
• Supporting the Company Secretariat in providing advice and support to the Board.
• Assisting the General Counsel and Deputy General Counsel in advising the Group.

Specific accountabilities for the Senior Legal Counsel (Corporate and Reinsurance):

• Providing strategic legal advice on corporate transactions to the Group.
• Advising on reinsurance agreements and collateral structures, liaising with stakeholders and external counsel.
• Advising on the Group\’s constitutional arrangements with key shareholders.
• Offering legal guidance on corporate governance to support Committees, the Board, and the CEO.
• Reviewing contracts, including non-disclosure agreements, bulk annuities, outsourcing, and investment management agreements.
• Collaborating effectively with team members and stakeholders, including managing the PIC Legal Panel.
• Taking ownership of personal learning and development in legal and non-technical skills.
• Staying informed of industry trends, market developments, and regulatory changes through seminars, reading, and sharing relevant articles.
